Hampton Roads Educational Consulting, LLC provides educational planning services geared to the families of high school students. The resources available to parents through Hampton Roads Educational Consulting, LLC (HRE Consulting) include the website, “THE SIDELINES: PARENT GUIDE TO COLLEGE ADMISSIONS” found at www.sidelinesguide.com, and the corresponding Facebook page, found at  www.facebook.com/SidelinesGuide, as well as other media forms and social networks.

By using or accessing the website, ‘THE SIDELINES: PARENT GUIDE TO COLLEGE ADMISSIONS’ found at www.sidelinesguide.com, and/or www.hredconsulting.com,  including other media forms, media channels, social networks (such as the Facebook page found at www.facebook.com/SidelinesGuide (the “Facebook page”)), mobile websites or mobile application related or connected thereto (the “Website”)  or any of the documents, products, data, or services provided to you on, from, or through the Website or Facebook page, you signify your agreement to (1) these terms and conditions (the "Terms of Use") and (2) THE SIDELINES GUIDE privacy notice, found at  http://sidelinesguide.com/main/page/privacy-policy and at www.hredconsulting.com incorporated herein by reference (the “Privacy Policy”). If you do not agree to any of the Terms of Use or the Privacy Policy, you should not use the resources found at the Website and Facebook page and should exit from them immediately.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Website. If you are a minor, you must have your parent or guardian read and agree to this agreement prior to you using the Website. Persons under the age of 13 are not permitted to register for the Website or use our services.

Copyright and Use of Content 

The content of the Website and Facebook page and the trademarks, service marks and logos contained on the Website and Facebook page are the property of HRE Consulting and its licensors, and are protected by copyright and other intellectual property rights under the law and all rights are reserved. Provided that you are eligible to use the Website, you are granted a limited license to access and use the Website and the content and to download or print a copy of any portion of the content to which you have properly gained access solely for your personal, non-commercial use. HRE Consulting reserves all rights not expressly granted to you in and to the Website and content. If you download or print a copy of the content for personal use, you must retain all copyright and other proprietary notices contained therein.

Linking to The Sidelines website or Facebook page

 Schools, nonprofit organizations, commercial and media sites, including blogs, are encouraged to link to The Sidelines website or Facebook page, but they are expressly prohibited from charging clients to access the website or Facebook page or from selling any of the content and hereby agree that they will not do so.

Links within The Sidelines Guide

The Website and Facebook page contain links to third party websites that are not owned or controlled by Hampton Roads Educational Consulting, LLC (“HRE Consulting”). HRE Consulting has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, HRE Consulting will not and cannot censor or edit the content of any third-party site. By using this Website and/or the Facebook page, you expressly agree and acknowledge that HRE Consulting shall have no liability arising from your use of any third-party website accessed through links embedded within the Website or Facebook page. The availability of links on this website or Facebook page to third party content, products or services should not be construed as referrals to, or endorsements of, the linked entities or the content, products or services that they make available.

Contributions

The Website may invite you to chat or participate in blogs, message boards, online forums and other functionality and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to HRE Consulting and/or to or via the Website, including, without limitation, text, writings, video, audio, photographs, graphics, comments, suggestions or personally identifiable information or other material (collectively "Contributions"). Any Contributions you transmit to HRE Consulting will be treated as non-confidential and non-proprietary. When you create or make available a Contribution, you thereby represent and warrant that: (a) the creation, distribution, transmission, public display and performance, accessing, downloading and copying of your Contribution does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret or moral rights of any third party; (b) your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable (as determined by HRE Consulting), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of the government of the United States, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party; (c) your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap; (d) your Contribution does not inundate the Website with communications or other traffic suggesting no serious intent to use the Website for its stated purpose; and (e) your Contribution does not otherwise violate, or link to material that violates, any provision of this agreement or any applicable law or regulation.

By posting Contributions to any part of the Website you automatically grant, and you represent and warrant that you have the right to grant, to HRE Consulting an unrestricted, unconditional, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part) and distribute such Contributions for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names and logos, personal and commercial images you provide. HRE Consulting does not assert any ownership over your Contributions; rather, as between us and you, subject to the rights granted to us in this agreement, you retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. HRE Consulting has the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Contributions, (ii) re-categorize any Contributions to place them in more appropriate locations or (iii) pre-screen or delete any Contributions that are determined to be inappropriate or otherwise in violation of this agreement.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Website  provided by you to HRE Consulting are non-confidential and HRE Consulting (as well as any designee of HRE Consulting) shall be entitled to the unrestricted use and dissemination of these submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Warranties 

The content of the Website and Facebook page is provided on an “AS IS”, “AS AVAILABLE” basis and any and all warranties with respect thereto are specifically disclaimed, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
HRE Consulting, its affiliates, and any officer, director, employee, subcontractor, agent, successor, or assign of HRE Consulting or its affiliates does not warrant that: (a) the resources will meet any specific requirements; (b) the use of the Website or the Facebook page will be uninterrupted, timely, secure, virus-free, or error-free; (c) the results that may be obtained from the use of the resources will be accurate or reliable; (d) the quality of any products, services, information, or other material purchased or obtained through the Website or Facebook page will meet any expectations; and (e) any errors in the Website or Facebook page or their content will be corrected.

HRE Consulting, its affiliates, and any officer, director, employee, subcontractor, agent, successor, or assign of HRE Consulting or its affiliates, shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if HRE Consulting has been advised of the possibility of such damages), resulting from:
(a) the use or the inability to use the Website or Facebook page; 
(b) the use of or reliance upon any goods, data, information or services purchased or obtained through or from the Website or Facebook page; 
(c) any price change, suspension or discontinuance of the Website or Facebook page;
(d) any loss, alteration or deletion of content, or modification to a feature or to the Website itself or Facebook page;
 (e) any damage to your computer or equipment resulting from the use of the Website or Facebook page; or 
(f) any other matter relating to the Website or Facebook page.

This Website and the Facebook Page may provide files and documents available to be downloaded onto your personal computer. HRE Consulting cannot guarantee the safety of these files and documents or the use of the Website or Facebook Page and HRE Consulting expressly disclaims any liability to anyone who downloads these documents and/or files or uses the Website or Facebook Page and as a result sustains any computer virus, any computer problem, or any other damage to their computer.

The content provided is a mixture of general information and the author’s personal opinions.  Every student is unique, however, and the college admissions process can be unpredictable.  You should seek additional guidance from your school counselor and other professionals who know your personal circumstances. While HRE Consulting attempts to update the Website and Facebook page in a timely and accurate manner, data changes and evolves rapidly.  For these reasons, you should never rely on these resources as your sole source of college planning guidance. Finally, HRE Consulting is not responsible for any computer problem or damage that might occur as a result of your use of the Website or Facebook page.

Most importantly, you should not act, or refrain from acting, solely on the information contained in this Website and/or Facebook page without seeking further professional information regarding your specific situation.

Miscellaneous Provisions

1.   HRE Consulting may, in its sole discretion, modify or revise these Terms of Service and the Privacy Policy at any time, and you agree to be bound by such modifications or revisions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits.
2.  The failure of HRE Consulting to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.
3.  These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia and the federal laws of the United States of America. Any legal action of whatever nature by or against HRE Consulting arising out of or related in any respect to this Website shall be brought solely in either the applicable federal or state courts located in or with jurisdiction over York County, Virginia; subject, however, to the right of HRE Consulting, at the HRE Consulting’s sole discretion, to bring an action to seek injunctive relief to enforce this agreement or to stop or prevent an infringement of proprietary or other third party rights (or any similar cause of action) in any applicable court in any jurisdiction where jurisdiction exists with regard to a user.
